ARTICLE I - NAME

The name of this association shall be "The Riverside Neighborhood Association", hereby referred to as RNA.

ARTICLE II - PURPOSE AND JURISDICTION

The purpose of the RNA shall be:

Section 1.

RNA shall provide open communication to exchange ideas and information also to represent the interest and improve the general welfare of the residents living within the neighborhood boundaries.

Section 2.

To assist with the upkeep, restoration, preservation, and general beautification of the neighborhood for the mutual enjoyment of the residents of the Riverside Neighborhood.

Section 3.

The RNA shall be non-commercial, non-sectarian and non-partisan. The authority and jurisdiction of the RNA shall be derived from the resident membership.

Section 4.

The boundaries of the Riverside Neighborhood shall be determined by the City of Everett, Washington and the Everett Council of Neighborhoods. The RNA shall support the area as designated by the following boundaries: North: 19th Street; South: Pacific Avenue; East: Broadway; West: To the Snohomish River.

Section 5.

RNA shall give equal opportunity for membership, Board of Directors and other volunteer participants without regard to race, religion, color, creed or national origin, gender, martial status, sexual orientation, age or disabilities to all persons otherwise qualified. In furtherance of this policy, RNA shall:

  1. Prohibit discrimination in recruitment for Board of Directors and other volunteer participation in the organization without regard to race, religion, color, creed or national origin, gender, martial status, sexual orientation, age or disabilities.
  2. Base decisions regarding Board positions and other volunteer leadership and advancement upon valid requirements and criteria which are related and necessary to perform the work required.
  3. Assure a work and meeting environment free from discrimination.

Section 6.

This organization shall have no capital stock. No dividends shall be paid and no part of the income of this organization shall be distributed to it's members, directors of officers. The executive board shall have the authorization to pay reasonable compensation for authorized expenses.

ARTICLE III - MEMBERSHIP

All residents residing within the boundaries as set forth on Article II of the RNA shall be members of the RNA. Membership will be based on two categories - voting and non-voting.

  1. Resident members, who are adult residents, age 18 or older, residing within the boundaries (as described in Article II, Section 4) of the Riverside Neighborhood are classified as a voting members. These members shall elect all RNA Executive Board members. A resident membership is entitled to one individual vote. They are always welcome to attend any RNA meeting.
  2. Non-resident members, who are not currently residing within the boundaries (as described in Article II, Section 4) of the Riverside Neighborhood are classified as non-voting members. They are welcome to attend any RNA meeting.

ARTICLE IV - EXECUTIVE BOARD

The Executive Board of RNA shall be comprised of four officers, a Chair, Co-Chair, Treasurer, and Secretary, and must be resident members as defined by article III section A. All members on the Executive Board must be willing to have their phone numbers published in the community newsletter. The Executive Board members must be willing to comply with any requirements set forth by Everett's Council of Neighborhoods and the Office of Neighborhoods.

Section 1.

a) Chair

The president shall be the principal executive officer of the RNA and shall represent the RNA at community and other functions deemed appropriate by the Executive Board. The Chair shall represent RNA to promote exchange of information and to facilitate cooperation with other neighborhood associations, City of Everett, Washington State, and the United States of America. The Chair shall preside at all meetings of the Board of Directors and all RNA meetings, taking an active part in their deliberations. The Chair shall be empowered to appoint all committees with the concurrence of the Board. He/she shall be empowered to sign documents, where appropriate, and in general perform all duties as may be prescribed by the Board of Directors, Council of Neighborhoods and the Office of Neighborhoods.

b) Co-Chair

In the absence of the Chair, or in the event of the Chair's inability or refusal to act, the Co-Chair shall perform the duties of the Chair, and when so acting, shall have all the powers of, and be subject to all restrictions upon the Chair. The Co-Chair shall take part in all deliberations of the Board of Directors. The Co-Chair shall perform other duties from time to time as assigned by the Chair, Board of Directors, Council of Neighborhoods and the Office of Neighborhoods.

c) Treasurer

The Treasurer shall have charge and custody of, and be responsible for, all funds of the RNA; receive and give receipts for moneys due and payable of the RNA. The Treasurer is responsible for providing financial status to the RNA and the Board of Directors and shall perform all duties incident of the office of Treasurer. The Treasurer shall take part in all deliberations of the Board of Directors. The Treasurer shall perform other duties from time to time as assigned by the President, Board of Directors, Council of Neighborhoods and the Office of Neighborhoods.

d) Secretary

The Secretary of the Board shall be the custodian of the RNA's records, responsible for cataloging RNA correspondence and taking part in all deliberations of the Board of Directors. The Secretary, or his/her designate, shall record and publish the minutes of all RNA meetings. The Secretary shall provide the Office of Neighborhoods with a copy of the newsletter along with the attendance sheet for each meeting for distribution to the members who have signed up to receive the newsletter. The Secretary shall prepare notices to be mailed to the membership as prescribed by the Chair, Board of Directors, Council of Neighborhoods and the Office of Neighborhoods. The Secretary shall be responsible for notifying the media of upcoming events. The Secretary shall perform other duties from time to time as assigned by the Chair, Board of Directors, Council of Neighborhoods and the Office of Neighborhoods.

Section 2.

Each officers term of office shall be for one calendar year, or until his/her successor has been elected and installed. The Executive Board shall appoint members from RNA to fill any vacancy and unexpired term.

Section 3.

A vacancy occurring on the Executive Board in any office because of death, resignation, removal, disqualification or otherwise, may be filled by any other Executive Board member for the unexpired portion of the term. The Board of Directors shall vote to name a replacement from the Executive Board. If no Executive Board members wishes to complete the vacancy an election can be ran following the rules of election as described in Article VI.

Section 4.

No Executive Board member shall receive any salary for their services.

Section 5.

Any member of the Executive Board may be removed from office by the Board of Directors whenever such member indicates a noticeable disinterest in the welfare of the RNA, does not attend three consecutive meetings with out a legitimate reason, does not perform the duties of his/her office, or takes action in violation of the Bylaws.

ARTICLE V - BOARD OF DIRECTORS

The Board of Directors of RNA shall be comprised the members of the Executive Board along with members in the following positions. Two Council of Neighborhoods Representatives, One alternate Council of Neighborhoods Representative, One Police Liaison and One Alternate Police Liaison.. All members in the Board of Directors must be willing to have their phone numbers published in the community newsletter. The Board of Directors members must be willing to comply with any requirements set forth by Everett's Council of Neighborhoods and the Office of Neighborhoods. New Board of Director positions may be created at any time the Board of Directors deems it necessary to fulfill the requirements of the RNA. New positions must comply with the rules for amending as set forth in Article IX.

b) Council of Neighborhoods Representative

Council of Neighborhood Representatives are a four year post made by the Mayor of Everett. The RNA Board of Directors shall make nominations to the Mayors Office for these positions. The Council of Neighborhood Representative and Alternate shall be responsible to represent the RNA at the Council of Neighborhood functions. The Representative or Alternate will provide status of neighborhood activities to the Council of Neighborhoods. A Representative or Alternate will provide status of Council of Neighborhood activities to RNA. The Representatives and Alternate shall perform other duties from time to time as assigned by the President, Board of Directors, Council of Neighborhoods and the Office of Neighborhoods.

ARTICLE VI - ELECTIONS

Section 1.

Executive Board of the RNA shall be elected annually by the voting members in attendance of the RNA during the June meeting. The newly elected officers will take office at the first meeting of the fiscal year in September. Each Officer shall hold office for one year, or until a successor has been duly elected.

Section 2.

Vacancies may be filled or new offices created and filled at any meeting of the Board of Directors by simple majority vote. Such Officers shall hold office until the General Meeting in September.

Section 3.

Solicitation of nominations for all positions within RNA shall be accepted from the floor at the May RNA meeting.

Section 4.

The Executive Officers shall be elected by simple majority vote of the attending voting membership. A run-off election shall immediately follow a tie vote. In the event any Executive Officer is not approved by the general membership, it shall be upon the new Board to select a replacement candidate. The replacement candidate shall be presented for approval to the attending membership at the next RNA meeting.

ARTICLE VII - MEETINGS

Section 1.

The RNA Meetings shall be held each month with the exception of July and August with the date, time and place selected by the Executive Board. The RNA currently meets on the second Tuesday of each month at 7:00 PM at North Middle School. Exceptions to this arrangement will be posted in the newsletter.

Section 2.

Board of Director and Executive Board meetings may be called by the President whenever the President deems it necessary.

Section 3.

Special meetings may be called of the Board of Directors by any Board member with three days notice.

ARTICLE VIII - RNA FUNDS

Section 1.

Most funds for the RNA are in the form of grants from the City of Everett or Government Grants. The Office of Neighborhoods is responsible for distribution of these funds. The RNA members select projects in which the funds shall be used. Voting by attending voting members shall be used to narrow the list of projects down for a given year when inadequate funds are available for distribution. The RNA also provides manpower when it is needed/required, since some grants require (x) amount of hours for funds provided.

Section 2.

The RNA reserve the right to collect funds from fund raising. The funds would be used for distribution of the newsletters (if the Office of Neighborhoods was to stop providing this service), special projects, or other items deemed necessary by the Board of Directors.

Section 3.

All funds raised by fund raising will be kept in a financial institution requiring two signatures for any withdrawal. The authorized signatures shall be those of the Treasurer and at least one other Executive Board member. Two members of the Executive Board may authorize expenditures up to $100.00. Expenditures over $100.00 must be approved by the Executive Board.

ARTICLE IX - AMMENDMENTS

These Bylaws may be amended by a two thirds vote of those present and voting at any RNA meeting. Any member may propose an amendment to the Bylaws by submitting it in writing. Proposed changes must be made available for review at the meeting prior to a vote being taken. After a vote the changes will become effective immediately. After an amendment is made, it will be incorporated in the bylaws. The Office of neighborhoods will be provided with an amended copy for their records.

ARTICLE X - DISSOLUTION OF RNA

Section 1.

If, at any time, or for any reason, the RNA wishes to dissolve, the membership shall receive notice in writing stating the reasons that dissolution is contemplated, the date, time and place where a meeting to discuss and vote on the issue shall be held. Said meeting shall be no less than fifteen (15) days after the notices are sent.

Section 2.

In the event of Dissolution all tangible assets of the organization shall be distributed to a non-profit organization or organizations to be used primarily to serve residents of the area served by the RNA. No tangible assets shall be distributed to any officer, director, or member of the RNA; or any individual of the area served by the RNA.
